The company was founded out of the need to provide an investment platform for companies looking for strategic and operationally experienced empowerment partners who can add value and growth to investee companies.

INVESTMENT STRATEGY

Our aim is to maintain and grow significant portfolios.

Our aim is to maintain and grow a significant portfolio of equity interests in a spread of industrial, services, retail, IT, financial and related businesses with demonstrated sound growth records, potential for growth and business scalability. These investments must be cash generative and earn above industry average returns on capital over a period. Our interests in unlisted companies will normally be large minority holdings with reasonable interests held by management and/or family shareholders with who we engage as partners. We will also hold interests in listed companies where we are represented on the Boards and can play an active role in the further development of the listed entity. We may hold interests that are small in percentage term, but where we are able to influence through Board representation or shareholder agreements. We aim to participate in good businesses with first-class management. Our overall business approach is that of a diversified holding company

STRATEGIC INVESTMENTS

We target largely Black Empowerment focused equity positions in companies with the following:

- Requirement of strong BEE partners
- Availability of a significant equity share
- Employment of reasonable gearing
- Co-investment with selective investors and management
- Cash generative and profitable businesses
- Opportunity to invest for growth, either organically or acquisitively or both.

CORPORATE FINANCE

The team has more than 100 years combined relevant experience in Corporate Finance activitie.

The team has more than 100 years combined relevant experience in Corporate Finance activities and has been involved in many corporate finance transactions in South Africa. The team provides innovative corporate advisory services for mergers and acquisitions, BEE transactions, capital raising, both equity and debt, valuations, listings, delistings and corporate restructures.

On Buy Side:

We offer the following: . Identify M&A targets
- Formulate an approach strategy, including initial views on valuation, structuring and transaction parameters
- Recommending terms and pricing
- Approaching targets and assisting clients in negotiations, advising on strategy, tactics and structuring of the transaction
- Developing a framework for and assisting with due diligence
- Project managing and liaising with other professionals, experts and service providers . Identify and approach potential providers of capital, debt or equity funding
- Liaising with and obtaining opinions and formal rulings from regulators - Ensuring the successful and timely closure of the transaction.

On Sell Side:

We offer the following:
- Valuations and preparations of a transaction memorandum
- Identification and securing of potential buyers and investors
- Facilitating negotiations and managing the bidding process, ensuring optimal value realisation for our clients
- Managing the transition for a successful close.

VALUATIONS SERVICES PROCESS:

In transactional and structuring support, the team has assisted and advised various companies at different stages of capital raising or other restructuring processes, including;

There are a number of circumstances when a business valuation may be required, and these include:


- Acquisitions/mergers
- BEE/employee share incentive schemes
- Disposal/business reorganisations
- Tax consolidations and other tax considerations

Bhekisisa (Bheki) James Themba Shongwe - Executive Chairman and CEO BA (Econ) (UBS), MBA (Australia), ACIS (UK), FCIBM (SA), LDP (UCT), LDP (Wharton)

Bheki is a Director of the company and has over 30 years of corporate experience in a wide variety of fields, including financial services, aviation, fleet management, hospitality and leisure, petroleum, media and entertainment, manufacturing and transport. He was the first black Marketing Manager at Sanlam in the early 1990s when Sanlam embarked on an aggressive strategy to extend their product offering to the black market. Bheki has first-hand experience in opening the “traditional markets”. Bheki’s leadership roles have ranged from being the founding managing director of Africa Oil (Pty) Ltd, the first black-owned and managed oil company in South Africa, to being CEO of entertainment company Sterkinekor, and CEO of the Johannesburg Metropolitan Bus Services (Pty) Ltd, to name a few. He has served on a number of company boards, including Fleet Africa (Pty) Ltd, Primedia Ltd, Highveld Steel and Vanadium Corporation Ltd, African Bank Investments Ltd and African Bank Limited, Supergroup Ltd, Sabvest Ltd and Air Traffic and Navigation Services, Evraz Highveld Steel and Vanadium where he was Chairman, a member of the Transformation Committee and the Audit Committee. He currently serves on the Board of Sabvest where he is Deputy Chairman, a member of the Audit Committee and Remuneration Committee. He is also Chairman of Flow Communications.

Stephanus (Stef) Johannes Greeff - Chief Investment Officer BCom (Hons) Accounting, CA (SA), Chartered Financial Analyst

Stef is a Corporate Finance Specialist with a wealth of experience in Stef’s most recent position was as Group Commercial Executive of a listed company, where he was part of Exco and the Investment Committee. Prior to that he was a Financial Director of a listed construction company, Corporate Finance Executive of a listed Black-owned Investment Bank, and also Head of Equity Markets Advisory for a big four audit firm. Stef has gained experience across a wide range of industries, most significantly in FMCG manufacturing, mining, construction and financial services and has worked with large local corporates, government as well as international investors. He currently serves on the JSE AltX Advisory Committee.

Dr Mothomang Diaho - Non-executive Director BCom Law (University of Pretoria), LLB (Unisa)

Mothomang is the Founding Member and Chairman of TEACH SA. She serves on the Boards of Tshikululu, the Urology Hospital and some of their sub-committees. She has worked as a Public Health Practitioner, she teaches and consults in areas of Health and Wellness. She is the Founder of Spiral Aloe Lifestyle Clinics. She was Head of the Dialogue Programme at the Nelson Mandela Foundation for about 5 years, worked for the UNDP, Abt and Associates. Mothomang is a qualified Medical Doctor from the University of Adelaide in Australia.

Reuben Olifant - Non-executive Director BCom Law (University of Pretoria), LLB (Unisa)

Reuben is an admitted Attorney of the High Court of South Africa. He has over 20 years corporate and business experience which includes managerial and executive roles in listed companies such as Telkom. Reuben is a serial entrepreneur and he started and runs the Best Group of companies as its Founder and Executive Chairman. The Group focuses on Manufacturing, Financial Services, Property Management, Fleet Management and Food Distribution. Reuben is the Current Africa Region- Learning Officer for YPO and immediate past Chairman of YPO Pretoria Chapter, Deputy Chairman of the Pretoria Business Chapter, Secretariat of Business Unity South Africa and an active member of Ivest Africa.
